Terms of Service

These Terms govern your use of the Quotd website (quotdauto.com) and any advisory or negotiation services you book from us. By using the site or engaging our services, you agree to these Terms. If you don't agree, please don't use the site or our services.

Quotd is operated by Quotd LLC, an Iowa limited liability company ("Quotd", "we", "us", "our"). You can reach us at hello@quotdauto.com.

1. What we do — and what we don't

Quotd is an independent, flat-fee buyer-side car-buying advisory and negotiation service. We help you evaluate a vehicle deal, target a fair out-the-door price, and negotiate on your behalf with dealers. The full scope of any engagement is described in your booking confirmation.

We do not:

• Take title to any vehicle.
• Sign purchase documents, financing documents, or any other contract on your behalf.
• Hold any auto dealer, broker, or motor vehicle license, and we do not act as one.
• Provide legal, tax, insurance, or financial advice. Consult appropriate professionals for those.
• Accept any compensation, commission, kickback, finder's fee, or referral fee from any dealer, lender, manufacturer, warranty provider, or other party in the transaction. Our only revenue from any transaction is the flat fee you pay us.

You make the final purchase decision and sign every document yourself. We advise; you decide.

2. Fees and payment

Our services are priced on a flat-fee basis disclosed in writing before you book. As of the date above:

• Deal Review — $200, paid upfront.
• Full Negotiation — $800, paid upfront. Lease deals add $100. Multiple vehicles are quoted custom.

Fees are payable in U.S. dollars and are due before we begin work on your engagement. Fees are non-refundable once we begin work, except as required by applicable law or as expressly stated in your booking confirmation.

3. Your responsibilities

To get useful advice, you agree to:

• Give us accurate information about the vehicle you're considering, your trade-in (if any), your financing situation, and any quotes or offers you've received.
• Respond to communications from us in a reasonable timeframe, especially during active negotiations.
• Make your own purchasing and financing decisions and sign your own documents. We will never sign for you.
• Comply with all applicable laws in your purchase.

4. No guaranteed savings or specific result

We do not promise, warrant, or guarantee any specific savings amount, negotiated price, trade-in value, interest rate, or other dollar outcome. Vehicle prices, incentives, taxes, fees, and dealer behavior vary by location, market, and circumstance. Our service is the application of expertise on your behalf, not a guaranteed outcome.

If we determine that a deal you've already received is fair as-is, we will tell you so. We will not manufacture a saving that doesn't exist to justify our fee.

5. Independence and conflicts

We work for you. We have no financial relationship with any dealer, manufacturer, lender, warranty provider, or third party in your transaction. We do not receive commissions, kickbacks, or referral fees from any party other than you. See our Disclosures page for details.

6. Confidentiality

We treat the details of your engagement as confidential. We will not share your personal information with any dealer, lender, or other third party except as needed to perform the service you booked (for example, to convey an offer to a dealer on your behalf) or as required by law. 7. Intellectual property

The site, including its text, design, illustrations, and software, is owned by Quotd LLC or its licensors. You may use the site for personal, non-commercial purposes. You may not copy, scrape, redistribute, or build derivative products from the site without our written permission. The "Quotd" name and logo are our trademarks.

8. Acceptable use

You agree not to use the site or our services to:

• Violate any law or third-party right.
• Send spam, automated requests, scraping traffic, or attempt to disrupt the site.
• Reverse engineer, decompile, or attempt to extract source code from the site.
• Misrepresent your identity, residence, or any material fact about your transaction.

9. Disclaimer of warranties

The site and our services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components.

10. Limitation of liability

To the maximum extent permitted by law, Quotd LLC, its members, employees, and contractors will not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the site or our services, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or related to the site or our services will not exceed the fees you paid us for the specific engagement giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Quotd LLC and its members, employees, and contractors from and against any third-party claims, losses, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your misrepresentation of any material fact, or your purchase of a vehicle.

12. Governing law and venue

These Terms are governed by the laws of the State of Iowa, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in Polk County, Iowa, and you consent to their jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the current version. Material changes will be communicated through the site. Your continued use of the site or our services after a change constitutes acceptance of the updated Terms.
